A large part of my commercial practice consists of advising business organizations of all types – sole proprietorships, partnerships, joint ventures and corporations, franchisors and franchisees, not-for-profits and charitable organizations – in connection with their formation, organization, operational issues and business relationships.
I often assist companies in their startup and growth phases, including with respect to establishing governing policies and procedures, and provide advice in connection with a wide range of ongoing corporate governance, contract and dispute resolution issues.
I devote substantial time to negotiating and preparing various agreements, including shareholder agreements, purchaser-supplier contracts, employment and technology contracts, co-venture agreements, commercial leases, air and marine charter agreements, nondisclosure and confidentiality agreements, and media, sponsorship and licensing contracts. I also advise clients with respect to all other organizational and administrative concerns, employment and human resources matters and government lobbying. In addition, I assist clients in researching and preparing business plans. As an experienced trial lawyer, I have appeared before most levels of judiciary in the United States and Canada. My extensive dispute resolution experience includes both prosecuting and defending complex commercial and sports-related litigation and arbitrations, and resolving employer-employee disputes.
